Belay LLC - Terms & Conditions

1. Introduction and Acceptance
Welcome to the Belay LLC ("Belay," "we," "us," "our") website and survey (collectively, the "Site"). These Terms of Use ("Terms") govern your access to and use of the Site. By accessing or using the Site (including submitting the survey), you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site. You affirm that you are at least 18 years of age and competent to agree to these Terms.

2. Permitted Use and User Conduct
You are granted a limited, non-exclusive, revocable license to access the Site and its content (including the survey) for informational purposes and to participate in the survey as intended. You agree not to:

Use the Site for any illegal or unauthorized purpose.
Interfere with the security or proper functioning of the Site.
Attempt to gain unauthorized access to any systems or data.
Scrape, copy, reproduce, distribute, or create derivative works from the Site content without our express written permission.
3. Intellectual Property Rights
The Site and its original content, including but not limited to text, graphics, logos, branding related to Belay and Lost Boys, and the survey structure (collectively, "Content"), are the property of Belay LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use the Content except as permitted under these Terms.   

4. Survey Submissions
By submitting responses to the survey, you grant Belay LLC a non-exclusive, worldwide, royalty-free license to use, analyze, aggregate, and reproduce your responses (excluding Personally Identifiable Information, which is governed by our Privacy Policy) for our research and business development purposes as described herein and in our Privacy Policy.

5. Disclaimers
THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. BELAY LLC DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.   

6. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BELAY LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

The Site may contain links to third-party websites or services (such as the survey platform) that are not owned or controlled by Belay LLC. We are not responsible for the content, privacy policies, or practices of any third-party sites or services.   

8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.   

9. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.
